Mobius Management Systems, Inc. today announced that it has acquired technology and certain other assets of privately-held eManage Inc. of Ottawa, Ontario. eManage develops software solutions for e-mail archiving, records management and lifecycle management that enable organizations to manage corporate records at an enterprise level. The eManage software suite includes a complete records management facility for Microsoft's SharePoint Portal Server. eManage technology will be integrated with the Mobius ViewDirect® TCM suite to deliver a comprehensive enterprise content management solution that also meets e-mail and records management requirements.

"Corporate governance and regulatory requirements have made enterprise-wide e-mail and records management solutions increasingly critical in recent years," said Patricia Turocy, principal analyst at Doculabs. "Organizations seeking to improve in this area should look at this requirement in the overall context of enterprise content management. There are real benefits in purchasing e-mail and records management solutions from an ECM vendor, including the ability to integrate e-mail with other records. For example, all the records related to a particular customer or transaction - purchase order, invoice, correspondence, e-mail -- can be retrieved with a single query and viewed together."

eManage's technology addresses the entire lifecycle of e-mail management by enabling the retention, organization, preservation and disposition of e-mail records. The software also improves the performance of e-mail systems by off-loading e-mail messages to less expensive secondary storage systems while continuing to make them immediately available to users, auditors and compliance officers.

eManage advanced records management software is certified to the U.S. Department of Defense 5015.2 records management standard. Capabilities span the management of both paper and electronic corporate records from creation and capture to retention, archiving and final disposition.

The eManage solution for Microsoft's SharePoint Portal Server, also certified to the DoD 5015.2 standard, extends full records management functionality, including lifecycle management and records security, to the collaborative SharePoint environment for authoring, versioning and publishing documents. eManage integration with SharePoint is transparent to the end user and does not require infrastructure modifications. The eManage/SharePoint integrated solution provides substantial cost and operational benefits to SharePoint users.

eManage software dovetails with the ViewDirect TCM suite, providing the ability to capture and archive, as indexed records, all e-mail messages entering and leaving the organization, as well as messages between users on an individual server and across multiple e-mail servers. The software provides built-in records management features such as automated destruction schedules; flexible rules that are easily administered and easily changed as regulatory rules are modified; and fast, efficient retrieval based on categorization and/or full-text search of archived e-mails and attachments.

"Mobius technology has long been recognized for scalability, breadth of supported content formats and comprehensiveness of solutions for capturing, managing and delivering enterprise content," said Mitchell Gross, CEO and president, Mobius. "Given the explosive growth and mission-critical nature of e-mail, the integration of eManage technology with the ViewDirect TCM suite is a logical and important step that enables Mobius to enhance its content and records management capabilities.

"With the addition of eManage technology-and the knowledge and expertise of its staff-we can offer a comprehensive, fully integrated content management suite," added Gross.

Bisher Abaza, president and CEO of eManage, will serve Mobius as vice president of channel sales. In that capacity he will manage relationships with channel partners for the entire suite of Mobius total content management software, including the e-mail and records management products that were developed and marketed by eManage.

"Managing the content lifecycle is an important requirement for all enterprises," said Abaza. "Organizations that lack a clear program for content lifecycle management run the risk of accidental or deliberate destruction of official records, the unnecessary and expensive retention of obsolete content and a loss of 'corporate knowledge' that can ultimately result in non-compliance with legal and regulatory requirements. Mobius has an impressive record as a pioneer in the market for software that captures, manages, protects and preserves content in a fully integrated and secure environment. We are excited to be joining an organization that has a record of leadership, innovation and vision."

The purchase of the technology and certain other assets of eManage will be recorded using the purchase method of accounting, which requires the allocation of the purchase price to the acquired assets based on fair market value. It is anticipated that, following a third party valuation of the acquired assets, a portion of the purchase price will be allocated to in-process research and development. Any amount of the purchase price allocated as such will be charged to expense in Mobius's fourth quarter in accordance with generally accepted accounting principles.

29.04.2004, Mobius Management Systems
